1. Description of Promotion

Welcome to the Red Spade Pass – Red Wings in Toronto promotion (the “Promotion”) where, each time you complete the Entry Method (as defined in Section 4 below), participants earn an entry ticket to a prize Draw for one of two Red Spades Passes. This edition of the Red Spade Pass is a two-day road trip for you and a guest from Detroit, Michigan to Toronto, Ontario to see the Detroit Red Wings play the Toronto Maple Leafs in a suite at Scotiabank Arena on Thursday, April 17, 2025. The Red Spade pass includes the cost of travel and accommodation.

The Promotion is sponsored by TSG Interactive US Services Limited (the “Sponsor”). In these Terms and Conditions, a reference to “you” or “your” or “participant” is a reference to persons wishing to participate in the Promotion.  Participation in the Promotion is expressly conditioned upon acceptance of, and compliance with all requirements set out in, these Official Rules.  You may be required to sign paperwork issued by the Sponsor.

2. Promotion Period

The Promotion begins at 10:00 am ET on March 4, 2025 and ends at 11:59pm ET on March 15, 2025 (the “Promotion Period”). Winners are selected on Wednesday, March 19, 2025.

3. Eligibility

To enter the Promotion, you must be at least 21 years of age, have a PokerStars Account (as defined in Section 6 below), have been invited by the sponsor and be physically present in Michigan when you participate in the Promotion. (Employees, officers and directors of the Sponsor, affiliates, cable/satellite affiliates, advertising and promotion agencies, retailers, distributors, and each of such employees’, officers’ and directors’ immediate family members and/or those living in the same household (whether legally related or not) of each are not eligible to participate in the Promotion. Employees of other sports wagering sites are not eligible to participate in the Promotion. Employees of the NHL Entities, including affiliates, agents and immediate family members and/or those living in the same household of such employees, are not eligible to enter or win the Promotion. For the purposes of this Section, “NHL Entities” means NHL Properties, Inc., the National Hockey League (the “NHL”), and the NHL member teams.

4. Action Required

Opt-in is required. There is one method of entry to receive an entry into the prize drawing (“Entry Method”) and an alternative entry method.

Wager Entry Method:

You must place real money wagers totaling at least $25 on any Eligible Game (as defined in Section 10 below). Each $25 accumulative bet placed during the Promotion Period will constitute one “Wager Entry”.

Alternative Entry Method:

Alternatively, you may enter the Promotion by sending a copy of a valid US photo ID along with a document containing your name, address, age, email address, and PokerStars Account username to the Sponsor at #1096 2230 Route 70 W STE 2, Cherry Hill, NJ 08002. All entries submitted via this Alternate Entry Method must submitted during the Promotion Period. Limit one Alternate Method of Entry submission per Promotion day.

Players are limited to 200 total entries into the prize Draw combined between the Wager Entry Method and Alternative Entry Method.

By participating in the Promotion, you agree that you have reviewed and you accept these Official Rules and the Sponsor’s Privacy Policy and Terms of Service (as set out in Section 6 below). You agree to abide by these Official Rules and the decisions of the Sponsor, which are final and binding in all respects.

5. Claiming Promotion Offer

For each successfully submitted Wager Entry or Alternate Entry, eligible participants will receive one (1) entry ticket to the random prize drawing (the “Draw”) which will be held on Wednesday, March 19, 2025. There are two prizes in total. Two winners will be randomly selected from the Draw to win a Red Spade Pass – Red Wings in Toronto edition. The winner of the Draw will be contacted by email (using the address linked to their PokerStars Account) on or before Friday, March 21, 2025 and each winner must claim their prize by responding to the Sponsor’s email by no later than Wednesday, March 26, 2025. Unclaimed prizes will be forfeited.

The approximate retail value (ARV) of each prize is $2,500.

Limit of 1 prize per person. Once you have been randomly selected from the Draw to win a prize, you will not be eligible to win any further prizes in the Draw. If a winner does not claim their prize by Wednesday, March 26, 2025, their prize may be forfeited and declared void at the Sponsor’s discretion, and the prize will be allocated to another participant that is drawn from the entries.

Prizes are non-transferable, with no cash redemptions, equivalents or substitutions except at the Sponsor’s sole and absolute discretion. All prize details not specified in these Official Rules will be determined in the Sponsor’s sole and absolute discretion. Prize details and availability are subject to change and the prize providers’ rules and restrictions, and in the event that the Sponsor is unable to provide a winner with their prize, the Sponsor may elect to provide them with cash equivalent to the ARV of the applicable prize or an alternate prize of comparable or greater value. Prizes are awarded “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). The ARV of the prizes is based on available information provided to the Sponsor and the ARV of any prize awarded to a winner may be reported by the Sponsor for tax purposes as required by law. Winners may be required to provide the Sponsor with a valid social security number before their prize is awarded for tax reporting purposes. An IRS Form 1099 may be issued in the name of the winners. Prizes not claimed in accordance with this Section will be forfeited. Prizes, if legitimately claimed, will be awarded. The Sponsor is not responsible for and will not replace any lost, mutilated or stolen prizes or any prize that is undeliverable or does not reach a winner because of an incorrect or changed address. If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited, and the Sponsor will have no further obligation with respect to that prize or portion of the prize. No more than the stated prizes will be awarded. The Sponsor is not responsible for, and winners will not receive, the difference, if any, between the actual value of their prizes at the time of award and the ARV stated in these Official Rules or in any sweepstakes-related correspondence or material.

The prize does not include any costs, taxes, fees, expenses and/or arrangements not expressly specified in the prize description. The winner is solely responsible for, and PokerStars will not be liable to reimburse the winner for, any such additional charges and expenses. PokerStars has no liability for lost or stolen tickets, vouchers, certificates and/or other documentation connected with the prize. PokerStars is not liable for any loss, theft, damage or injury caused or sustained by the winner as a result of participating in the prize.

The winner must not do anything that may bring the PokerStars, any of its group companies or its commercial partners into disrepute. PokerStars reserves the right to take appropriate action (including the removal of any element of the prize) if the winner acts in a way that PokerStars reasonably considers bringing the PokerStars, any of its group companies or its commercial partners into disrepute. 

6. Registration Procedures

To qualify for the Promotion, regardless of the Entry Method you use, you must have an active real money verified on https://www.pokerstarsmi.com/ (“PokerStars Account”). Creating a PokerStars Account is free, however you will be required to verify your identity and agree to the Sponsor’s Terms of Service and Privacy Policy for the relevant website (as set out below). If you do not agree to the relevant website’s Terms of Service and Privacy Policy, you cannot create a PokerStars Account or participate in the Promotion.

7. Limitations on Participation

In addition to the eligibility requirements in Section 3 above, the Sponsor reserves the right to refuse or otherwise restrict your eligibility to participate in the Promotion for any reason, in its sole discretion, including based on your wagering patterns or wagering history or if you failed to take advantage of any previous Sponsor Promotion in good faith. The Promotion is void where prohibited by law. Limit of 1 prize per person.

8. Wagering Requirements

See Section 4. Separately, site credits or any bonus received from a separate Sponsor promotion cannot be used for the Casino Wager Entry.

14. Additional Terms

Odds: The odds of winning a prize depend on the number of eligible entries received by the Sponsor during the Promotion Period. Outcomes of the Draw are determined by a random number generator.

Administration:  The Sponsor expressly reserves the right to amend, suspend or terminate the Promotion at any time without prior notice or consent.  Administration of the Promotion is at the sole discretion of the Sponsor.  The Sponsor reserves the right to restrict at any time any PokerStars Account holder from participating in the Promotion for any reason.  Any questions relating to eligibility, these Official Rules or any other questions concerning the Promotion will be resolved at the sole discretion of the Sponsor and its decisions will be final and binding with respect thereto.  No groups, clubs, corporations, companies, partnerships, or organizations may participate in the Promotion or reproduce or distribute any portion of these Official Rules to their members.

Tampering with Promotion:The Sponsor is not responsible for the actions of participants in connection with the Promotion, including participants’ attempts to circumvent these Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Promotion.  Persons found tampering with or abusing any aspect of the Promotion, or whom the Sponsor believes to be causing malfunction, error, disruption or damage may be disqualified.  Additionally, any attempt to cheat the Promotion, as determined at the sole and absolute discretion of the Sponsor, may result in immediate disqualification of the relevant participant, as well as other possible consequences, including disqualification from any and all existing and future Sponsor promotions.  ANY ATTEMPT BY A PERSON TO DAMAGE ANY WEBSITE (INCLUDING ANY SOCIAL MEDIA PLATFORM OR APPLICATION) OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK ALL LEGAL AND EQUITABLE REMEDIES FROM AND AGAINST ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.  The Sponsor reserves the right, at its sole and absolute discretion, to disqualify (or terminate the prize of) any participant who is found to be, or suspected of, acting in violation of these Official Rules, or to be acting in an unsportsmanlike, obscene, immoral or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person.

Suspension / Modification / Termination:In the event the Sponsor is prevented from continuing with the Promotion by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Promotion by any party, or any federal, state, local or provincial government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within the Sponsor’s control (each, a “Force Majeure” event or occurrence), the Sponsor shall have the right to modify, suspend or terminate the Promotion or prizes. The Sponsor additionally reserves the right, in its sole and absolute discretion: (a) to modify, suspend or terminate the Promotion should causes beyond the Sponsor’s control corrupt or interfere with the administration, integrity, operation, security or proper play of the Promotion; or (b) to disqualify any participant found to be, or suspected of: (i) tampering with the entry process or the operation of the Promotion; (ii) acting in violation of these Official Rules; or (iii) acting in an un-sportsmanlike manner.

Release and Waiver of Liability:  By participating in the Promotion, you agree to release, discharge, indemnify and hold harmless the Sponsor and its directors, officers, employees, agents, successors and assigns (collectively, “Released Parties”) from and against any and all claims, liability, costs (including attorneys’ fees), losses, damages, fines or injuries (up to and including bodily injury and death) of any kind arising out of or related to: (i) your participation in the Promotion (including travel to/from any Promotion activity); (ii) any acceptance, possession, misuse or use of any prize (including, without limitation, losses, damages or injuries to your or any other person’s equipment or other property, or to your/their persons, including those arising from any travel to/from any prize event or activity); (iii) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; and (iv) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Promotion activity and/or prize.  Without limiting the generality of the foregoing, you agree that the Released Parties have neither made nor will be in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, in connection with the Promotion and/or with respect to any prizes, including, without limitation, to any prize’s quality or fitness for a particular purpose.  You agree and that the Released Parties shall have no responsibility or liability for discontinued prizes; human error; incorrect or inaccurate transcription of registration and/or account information; any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, or Internet service provider utilized by the Sponsor interruption or inability to access the website, application or any online service via the Internet due to hardware or software compatibility problems; any damage to your (or any third person’s) computer and/or its contents related to or resulting from any part of the Promotion; any lost/delayed data transmissions, omissions, interruptions, viruses, bugs, defects; and/or any other errors or malfunctions, even if caused by the negligence of the Released Parties.  You further agree to indemnify and hold harmless the Released Parties from and against any and all liability resulting or arising from the Promotion and to release all rights to bring any claim, action or proceeding against the Released Parties and hereby acknowledge that the Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to a prize, including express warranties provided exclusively by a prize supplier that may be sent along with a prize.  The Released Parties are not responsible for any changes or unavailability of the social media platform used for purposes of administering the Promotion that may interfere with the Promotion (including any limitations, any restrictions, or any conditions on the Sponsor’s ability to use the social media platform for the Promotion as set forth herein that are not acceptable to the Sponsor) or your ability to timely enter, receive notices or communicate with the Sponsor via the social media platform, in which case the Sponsor, in its sole discretion, may terminate or modify the Promotion.

Entry Information and Promotion Communications:As a condition of entering the Promotion, you give consent for the Sponsor to obtain and deliver your name, address and other information to third parties for the purpose of administering the Promotion and to comply with applicable laws, regulations and rules.  Any information you provide to the Sponsor may be used to communicate with you in relation to the Promotion and may be used on a Promotion winners’ list.

Governing Law:  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participants, the Sponsor and/or the Released Parties in connection with the Promotion will be governed by and construed in accordance with the internal laws of the State of Florida, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

BY ENTERING THE PROMOTION, YOU AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED US$10.00, BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; AND (C) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN ANY AWARD FOR, AND YOU HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED US$10.00, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

Miscellaneous:  The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision.  In the event that any provision of these Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.  The Sponsor’s failure to enforce any provision of these Official Rules will not constitute a waiver of that provision. You agree to waive any rights to claim ambiguity of these Official Rules.  Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of any provision hereof.  In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials, Privacy Policy or Terms of Service on any website, social media platform or application and/or these Official Rules, these Official Rules shall prevail, govern and control and the discrepancy will be resolved in the Sponsor’s sole and absolute discretion.
